Terms of Service

These are the terms that govern your use of Starlet Systems Africa's software and services. We've written them clearly so you know exactly where you stand.

Welcome to Starlet Systems Africa. By accessing our website, requesting a demo, or using any of our management systems, you enter into a binding agreement governed by these Terms of Service. Please read them carefully. If any part of these Terms is unclear, do not hesitate to contact us before proceeding.

Acceptance of Terms

By accessing our website, requesting a demo, creating an account, or using any Starlet Systems Africa product or service, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are accepting these Terms on behalf of an organisation — such as a school, clinic, or business — you represent that you have the authority to bind that organisation to these Terms. If you do not agree, please refrain from using our services and contact us to discuss your concerns.

Services Description

Starlet Systems Africa designs, deploys, and supports software management systems and related ICT services for schools, health facilities, and businesses. Our current portfolio includes:

School Management System

Fee management, student records, attendance, reporting & more

Hospital & Clinic System

Patient records, billing, pharmacy, and clinical workflows

Point of Sale System

Sales, inventory, receipts, and financial reporting

ICT Services & Support

Infrastructure, managed IT, web & mobile development

We reserve the right to update, modify, or discontinue any service with reasonable notice to affected clients.

User Accounts & Responsibilities

To use our systems, you or your organisation will be issued account credentials. By using these, you agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date
  • Maintain the confidentiality of your account credentials and not share them with unauthorised persons
  • Notify us immediately at info@starletsystemsafrica.com or +256 769 214 437 if you suspect any unauthorised account access
  • Use our services only for lawful purposes and in accordance with all applicable Ugandan and international laws
  • Take responsibility for all activity that occurs under your account credentials

A Note on Responsible Use

Our systems are designed to serve communities. Any misuse — including unauthorised access, data manipulation, or use for illegal purposes — will result in immediate account suspension and may be reported to relevant authorities.

Payment Terms

We believe in transparent, fair pricing. Specific fees are agreed individually based on your organisation's size, system scope, and requirements. Generally:

  • Pricing is provided in a detailed, itemised quote tailored to your needs before any commitment is made
  • Flexible payment plans are available and agreed upon in your individual service agreement
  • All fees are denominated in Ugandan Shillings (UGX) unless otherwise expressly agreed in writing
  • Persistent late payments, following a grace period and written notice, may result in temporary service suspension
  • Refund requests are reviewed fairly on a case-by-case basis, taking account of the circumstances involved

Data & Privacy

Your use of our services is also subject to our Privacy Policy, which forms part of these Terms. In summary, with regard to data:

  • We implement appropriate technical and organisational measures to protect your data at all times
  • We will never sell your data to third parties — ever
  • Our team may access your data only as needed to provide support and maintain services, and never for any other purpose
  • Regular automated data backups are included as part of our support service
  • We comply with applicable Ugandan data protection legislation and international best practice

Intellectual Property

Starlet Systems Africa's software, systems, user interfaces, documentation, and all related content are protected by intellectual property laws. Under your service agreement:

  • You receive a non-exclusive licence to use the software for your internal organisational purposes as agreed
  • You may not copy, modify, reverse-engineer, resell, or distribute our software or documentation without prior written permission
  • You retain full ownership of all data and content you input into our systems
  • You grant us a limited licence to access your data solely to provide, support, and improve our services to you

Support & Maintenance

We are committed to your long-term success with our systems. As part of our service, we provide:

  • On-site Installation & Training: Included with every system deployment — our team comes to you
  • Ongoing Technical Support: Available via phone, WhatsApp, and email during business hours
  • System Updates & Improvements: All software updates are delivered at no additional cost
  • Emergency Support: Available via WhatsApp for critical system issues outside business hours

Support response times will vary depending on the nature and urgency of the issue. We prioritise critical operational issues and aim to acknowledge all requests within one business day.

Limitation of Liability

To the fullest extent permitted by applicable law, please be aware of the following limitations:

  • Our services are provided on an "as is" basis, and we make no warranties beyond those expressly stated in your service agreement
  • We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of our services
  • Our total aggregate liability to you in any 12-month period is limited to the total fees paid by you during that period
  • We strongly recommend you maintain regular, independent backups of your critical data as an additional safeguard
  • We are not liable for data loss resulting from user error, hardware failure, power outages, or events beyond our reasonable control

Service Availability

We design our systems to be resilient and available when you need them. However, please note:

  • We do not guarantee 100% uninterrupted service availability at all times
  • Planned maintenance, updates, or unforeseen technical issues may occasionally result in brief downtime
  • Our systems are built offline-first — they continue to function without an active internet connection in most scenarios
  • We will provide reasonable advance notice of any planned maintenance that may affect your operations

Termination

Either party may terminate the service agreement under the following circumstances:

  • By either party, with written notice as specified in your individual service agreement
  • By Starlet Systems Africa, immediately and without notice, in the event of a material breach of these Terms
  • By Starlet Systems Africa, following a notice period, in the event of persistent non-payment

Upon termination, you will retain the right to export your data. We will provide reasonable access to your data for a period of 30 days post-termination, after which it may be securely deleted from our systems.

Dispute Resolution

We genuinely hope disputes never arise, but if they do, we are committed to resolving them fairly and efficiently. Any dispute will be addressed in the following order:

  • Good Faith Negotiation: Both parties commit to first attempting to resolve the dispute through direct, honest dialogue
  • Mediation: If negotiation does not resolve the matter within 30 days, either party may request formal mediation through a mutually agreed mediator
  • Legal Proceedings: If mediation fails, disputes may be referred to the courts of competent jurisdiction in Uganda

Changes to These Terms

We may revise these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make significant changes, we will notify you via email or through our systems, providing reasonable notice before changes take effect. Your continued use of our services after changes are communicated constitutes your acceptance of the updated Terms.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Uganda. Any legal proceedings relating to these Terms or our services shall be conducted in the courts of competent jurisdiction in Uganda.
